DARKTIMES April 2026 Competitions Terms & Conditions

1. DEFINITIONS AND INTERPRETATION

   1. Definitions. The following definitions apply in these Terms & Conditions:
      1. Account means a digital registration with the Publisher consisting of such information as reasonably required by the Publisher (including name and email).
      2. BLOODBATH means the competition titled BLOODBATH: Most Kills Wins described in clause 4.
      3. Best Kill: April means the competition described in clause 5.
      4. Competition Period means the period commencing at 00:01 UTC on 2 April 2026 and ending at 23:59 UTC on 2 May 2026.
      5. Competitive Tournament means a Competitive Tournament, which runs twice per 24-hour period at specified times, and is not a Training Ground.
      6. Entry Content means an original DARKTIMES screenshot or screen recording submitted by a User for the purposes of Best Kill: April.
      7. Game means the “DARKTIMES” multiplayer game as described on the Website.
      8. Gold Piece Terms & Conditions means the terms and conditions governing the transfer of Gold Pieces and $TIMES as updated from time-to-time.
      9. Privacy Policy means the Publisher’s privacy policy as updated from time-to-time, which can be found at playdarktimes.com/privacy.
      10. Publisher means Little Giant Co Pty Ltd ACN 688 518 416.
      11. Software means the “DARKTIMES” downloadable computer gaming software.
      12. Sui Wallet means a digital wallet compatible with storing, receiving and transferring tokens on the Sui Blockchain.
      13. Terms & Conditions means these DARKTIMES April 2026 Competitions Terms & Conditions.
      14. User means each end user of the Software.
      15. Website means the website operated by the Publisher at playdarktimes.com.
      16. $TIMES means the $TIMES crypto token issued by Social Republic Limited.
   2. Interpretation. The following rules apply in these Terms & Conditions unless the context requires otherwise:
      1. Headings are only for convenience and do not affect interpretation.
      2. The singular includes the plural and the opposite also applies.
      3. If a word or phrase is defined, any other grammatical form of that word or phrase has a corresponding meaning.
      4. A reference to a clause refers to clauses in these Terms & Conditions.
      5. A reference to legislation is to that legislation as amended, reenacted or replaced, and includes any subordinate legislation issued under it.
      6. Mentioning anything after includes, including, or similar expressions, does not limit anything else that might be included.
      7. A reference to a party to these Terms & Conditions or another agreement or document includes that party’s successors and permitted substitutes and assigns (and, where applicable, the party’s legal personal representatives).
      8. A reference to a person, corporation, trust, partnership, unincorporated body or other entity includes any of them.
      9. A reference to information is to information of any kind in any form or medium, whether formal or informal, written or unwritten, for example, computer software or programs, concepts, data, drawings, ideas, knowledge, procedures, source codes or object codes, technology or trade secrets.

2. INTRODUCTION

   1. The Publisher is the:
      1. licensed publisher of the Software; and
      2. licensed publisher and operator of the Game and the Website.
   2. These Terms & Conditions form a binding legal agreement between the Publisher and each User who enters either of the competitions described in these Terms & Conditions.
   3. By entering either competition, the User confirms that the User has read, accepts and agrees to be bound by these Terms & Conditions, the DARKTIMES End User Licence Agreement, the Privacy Policy and all other instructions provided by the Publisher in relation to the competitions.
   4. These competitions are competitions of skill or merit only. Chance plays no part in determining a winner.
   5. No purchase is necessary to enter either competition.

3. ELIGIBILITY

   1. Entry is open only to a User who, at the time of entry and at the time of prize claim:
      1. is over the age of 18;
      2. has a valid Account in good standing;
      3. has accepted the applicable DARKTIMES End User Licence Agreement and Privacy Policy;
      4. is legally permitted to participate in the relevant competition and receive the prize in the User’s local jurisdiction; and
      5. is not an employee, officer, director, contractor, agent or immediate family member of the Publisher, Social Republic Limited, Blowfish Studios, or any person directly involved in the administration or judging of either competition.
   2. The User is responsible for ensuring that the User’s participation is lawful in the User’s local jurisdiction.
   3. Each competition is void where prohibited.

4. BLOODBATH: MOST KILLS WINS

   1. Entry into BLOODBATH is automatic for each eligible User who plays the Game in the Competitive Tournament mode during the Competition Period.
   2. For the purposes of BLOODBATH, an eligible kill means any kill of another player recorded to the User’s Account by the Publisher during the Competition Period in a Competitive Tournament.
   3. The winner of BLOODBATH is the eligible User whose Account records the highest total number of eligible kills during the Competition Period in Competitive Tournaments.
   4. The Publisher’s systems, logs, moderation records and internal readouts are the sole source of truth for the purposes of BLOODBATH, including in relation to kill counts, timing, eligibility, integrity, exploitation, manipulation, cheating and compliance with these Terms & Conditions.
   5. If two or more eligible Users record the same number of eligible kills, the tied User who first reached that total according to the Publisher’s records will be the winner.
   6. The Publisher may, in its absolute discretion, disqualify any User or Account, adjust or disregard any result, or refuse to award the prize, where the Publisher determines that a User has breached these Terms & Conditions, the End User Licence Agreement, or engaged in cheating, manipulation, exploitation, collusion, multiple account use, unauthorised software use, or any conduct deemed unreasonable by the Publisher in its discretion.
   7. The Publisher is not obliged to disclose any moderation, verification, integrity or anti-cheat technique or method used by it in connection with BLOODBATH.

5. BEST KILL: APRIL

   1. To enter Best Kill: April, an eligible User must during the Competition Period:
      1. post at least one Entry Content being an original DARKTIMES screenshot or screen recording showing a kill;
      2. post that Entry Content on Telegram, X, Discord, Twitch or YouTube; and
      3. tag, mention, link or otherwise notify the Publisher in the manner directed by the Publisher.
   2. The Entry Content must remain publicly accessible until at least the time the winner is determined by the Publisher.
   3. The winner of Best Kill: April will be determined by the Publisher by judging the eligible Entry Content submitted during the Competition Period.
   4. The Publisher may judge Best Kill: April by reference to any criteria it considers relevant to the quality of the Entry Content, including originality, humour, violence, timing, accuracy, entertainment value and overall impression.
   5. The Publisher’s judgment is final and no correspondence will be entered into.
   6. The Publisher may, in its absolute discretion, disqualify any Entry Content that is not original, is not posted in accordance with these Terms & Conditions, is not publicly accessible, is deceptive, infringing, unlawful, abusive, offensive, manipulative, inconsistent with the Game, or otherwise deemed unreasonable by the Publisher in its discretion.
   7. The Publisher is not responsible for any failure by a User to correctly tag, mention, link or otherwise notify the Publisher of an entry.

6. PRIZE

   1. The prize for BLOODBATH is 100,000 $TIMES.
   2. The prize for Best Kill: April is 100,000 $TIMES.
   3. The prize is not transferable, exchangeable or redeemable for cash.
   4. The User acknowledges and agrees that:
      1. $TIMES are issued by Social Republic Limited and not the Publisher;
      2. any transfer of $TIMES is subject to the Gold Piece Terms & Conditions and any requirements at the point of transfer;
      3. any transfer of $TIMES is exclusively between the User and Social Republic Limited, and not the Publisher; and
      4. $TIMES are not redeemable for cash.
   5. If, for any reason, a winner cannot lawfully receive the prize, cannot be verified to the Publisher’s satisfaction, does not satisfy the requirements for transfer of $TIMES, or does not claim the prize in accordance with these Terms & Conditions, the Publisher may forfeit the prize and award it to the next eligible User in its absolute discretion.

7. WINNER DETERMINATION, NOTIFICATION AND CLAIM

   1. The Publisher may determine the winners of the competitions on or after 9 May 2026 UTC.
   2. The Publisher may notify a winner by email, direct message, social media message, Website announcement, or any other contact details available to the Publisher.
   3. To claim a prize, a winner must, within 7 days after notification by the Publisher:
      1. respond to the Publisher;
      2. confirm the winner’s full name, email address, Account identifier and relevant social media handle;
      3. confirm the Sui Wallet connected to the winner’s Account for the purposes of receiving the prize;
      4. confirm that the winner is over the age of 18 and legally entitled to participate and receive the prize in the winner’s local jurisdiction; and
      5. confirm acceptance of these Terms & Conditions and any applicable Gold Piece Terms & Conditions.
   4. The Publisher may rely upon the confirmations given by a winner under this clause and is not obliged to undertake any formal know-your-customer (KYC) or identity verification process, but it may require this at its sole discretion.
   5. The Publisher may, however, request such further information as it reasonably requires to verify Account ownership, wallet connectivity, eligibility, compliance with these Terms & Conditions and prize delivery. If such information is not provided to the Publisher’s satisfaction within the time required by the Publisher, the prize may be forfeited.
   6. The Publisher may publicly announce a winner at any time on or after 9 May 2026 UTC.

8. ENTRY CONTENT

   1. By entering Best Kill: April, the User warrants that the Entry Content is original to the User, does not infringe the rights of any third party, and may be used by the Publisher in accordance with these Terms & Conditions.
   2. By entering Best Kill: April, the User grants the Publisher, its related bodies corporate, contractors, licensees and assigns a worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable and non-exclusive right to use, reproduce, repost, publish, communicate and display the Entry Content, together with the User’s handle, display name and Account name, for the purposes of administering Best Kill: April, announcing the winner, and promoting DARKTIMES.
   3. Nothing in these Terms & Conditions limits any right, licence, assignment or other interest already granted by a User to the Publisher under the End User Licence Agreement.

9. PRIVACY

   1. The User acknowledges and agrees that the Publisher may collect, use, disclose and store the User’s personal information for the purposes of administering the competitions, contacting entrants, verifying eligibility, investigating integrity issues, announcing winners and coordinating prize claims.
   2. Personal information collected in connection with the competitions will be handled in accordance with the Privacy Policy.

10. GENERAL

    1. Best Kill: April may be promoted or administered through Telegram, X, Discord, Twitch and YouTube. Each User acknowledges that Best Kill: April is in no way sponsored, endorsed, administered by, or associated with those platforms.
    2. The Publisher may, in its absolute discretion, cancel, suspend, modify, withdraw or recommence either competition where necessary to protect the integrity, security or lawful operation of the competition, the Game, the Software or the Website.
    3. The Publisher’s records and determinations are final in relation to all matters arising in connection with the competitions, including eligibility, entry validity, integrity, moderation, cheating, disqualification, judging, winner determination and prize claims.
    4. These Terms & Conditions are formed when the User enters either competition, whether done electronically or otherwise.
    5. These Terms & Conditions are governed by the laws of New South Wales, Australia. Each of the parties hereby submits to the non-exclusive jurisdiction of courts with jurisdiction there.
    6. No clause of these Terms & Conditions will be deemed waived and no breach excused unless such waiver or consent is provided in writing.
    7. Any clause of these Terms & Conditions which is invalid or unenforceable is ineffective to the extent of the invalidity or unenforceability without affecting the remaining clauses of these Terms & Conditions.
